We, GAS F Trading hereby state and represent that it is our corporate intention to Sell commodity Sulphur Granule in the quantity and for the price as specified in the Terms and Conditions stated below. This representation is made with full corporate authority and responsibility:

COMMODITY: Sulphur Granule

ORIGIN: Kazakhstan or Egypt, or another Non-sanction country

SPECIFICATIONS: Sulphur (see appendix 1)

TOTAL/CONTRACT QUANTITY: First lift 50.000 MT, then 50.000 MT per month CIF Port in a 12-month period. Extension possible.

PACKAGING: 1000kg JUMBO BAG

DELIVERY SIZE: 50.000 MT +/- 5% (One vessel)

DELIVERY SCHEDULE: Delivery schedule in the SPA

MODE OF PAYMENT: 

1.REGULAR S.P.A. ARDLC MT700 for monthly Value for 12 months period, then on delivery ISO 20022 or MT103/202

2. REGULAR S.P.A. SBLC MT760 for monthly Value for 12 months +1 day then on delivery ISO 20022 or MT103/202

MODE OF SECURE LOGISTIC SERVICE: T.B.A.

TARGET PRICE: Target price: Fixed price at USD $655 per MT, including transportation

TARGET LOGISTIC PRICE: T.B.A.

LOADING SEA PORT: Poti Port, Batumi Port, Georgia or A.S.W.P.

UNLOADING PORT: CIF to buyer destination 

INSPECTION: SGS, BV or Similar Organization

DOCUMENTS: FOR RELEASE PAYMENT ON DELIVERY TO VESSEL: T.B.A. at S.P.A.

TRANSACTION PROCEDURE CIF

1. The Seller issue SCO with CIS

2. The Buyer issue ICPO, CIS and POF (bank Statement print screen with attorney attestation letter or sign and stamp by CEO to our CEO only).

3. The Seller issues Sales and Purchase Agreement (SPA) for the first lift of 50,000 MT and regular delivery of 50,000 MT CIF Buyer destination Port per month in a minimum 12 months contract.

4. The Seller and Buyer signs the SPA and The Buyer’s Bank shall issue confirmation of verbiage RWA MT799 and either ARDLC MT700 or SBLC MT760 verbiage on the Bank’s official Letterhead to Seller and Seller’s Bank for Review and approval.

5. After approval, Seller and Buyer lodge the SPA with their Bank’s. Buyer’s bank issues a RWA MT799 (confirm SBLC MT760 or ARDLC MT700) to Seller’s bank.

6. Within five (5) banking days, Buyer’s Bank will issue SBLC SWIFT MT 760 service or ARDLC MT700 from either a Top 25 EU/US bank or via a Top 25 corresponding EU Bank to Seller’s Bank account. Seller’s Bank revert with 2% PBG to buyer’s Bank.

7. Seller issues the full POP within 2-15 working days including Fresh SGS and Unconditional Test Authorization (UTA) to the buyer with NOR date and IMO number of the vessel including All documents mentioned in the SPA.

8. The Buyer schedules ETA, when vessel is loaded in the Port, Buyer can do a test by SGS on the loaded goods on the vessel (optional).

9. Upon verification of the Proof of Product (POP), the buyer makes the payment ISO 20022 or MT103/202 within 24 hours and the vessel will leave for Buyer’s discharge Port.

10. After receiving 100% full payment, the Seller transfers ownership title to the Buyer.

11. The Seller delivers next shipment as per the SPA terms and conditions.

 

Buyer’s Commitment and Acceptance Statement

We, …………………………, the undersigned Buyer, hereby confirm full acceptance of the stated procedure and agreed price and affirm our readiness and commitment to proceed accordingly by issuing an Irrevocable Corporate Purchase Order (ICPO) with Proof of Funds (POF) bank statement with CEO signature, followed by the issuance of a Documentary Letter of Credit (DLC) or Standby Letter of Credit (SBLC) from a Top 25 international bank in strict compliance with the agreed terms.
